Your stock system would probably be better than that... You can try replacing the deck for $200 that will be an improvement.
Everything else would have to be used to go into that buget if you want the whole deal.

My son has a Mazda 3, Clarion CX501, $189.00 from Sonic, has 6x8 stock speakers, and just added an inexpensive Orion 10" entry sub $65.00 (sealed enclosure) and a Phoenix Gold 2 Channel used amp $20 bucks bridged to 160 watts x 1 @ 4 ohms.

His car surprised me, for what it is when I have to drive it the system is enjoyable and he really likes it. The sub setup just provides a nice compliment to the factory speakers and the clarion head unit puts out good power and controls the ipod nicely. Not a bad little setup, I can't fault it for the little bit of money he has in it.
Get a good head unit, add a small sub, should be good enough for now and better than what you have.

I can a new deck and speakers all around with a amp and sub for prolly 425 shipped won't be the best but will be new

I thought not..6 ch 4v pre's, x-over and most of the regular goodies on the HU, decent output on the amp, good power handling and 1" silk domes on the convertibles, 12" BA in just the right box for it...
