To me sound deadening helps keep exterior noise out of the car better than anything. Which is why I bought it in the first place. But it will also help deaden rattles, and can cut down on your body panels, and or trunk lid from flexing creating all kinds of wierd sounds. Definetly worth it. I hate when people pull up beside me bumpin' away and all you hear is the annoying noise of body panels rattling....not like you could hear theres over mine though, lol;)
