It is a Line Out Converter. It takes the higher voltage that goes directly to the speakers and reduces it to low level (RCA's), which is nessisary if your amp does not have a high level input.

You have to connect it to your speaker wires because thats the only place you get sound (Unless the stock HU has RCA outs, and not many do). I don't have any personal experience with a LOC, but I would guess the loss in output to your speakers that you tap into would be very minimal. And maybe you aren't supposed to have speakers hooked up when you are using them. This I am not really sure about.

Yes, that second one you linked to is the same. The only difference there is quality. The AC (The first one you linked to) will be better quality, and sound will be better. Sound difference may or may not be significant.
