Mounting Amp + Airflow + Mounting Block

Throw me some ideas, I had the amp mounted to the back of the back seat, I just got a new amp. The mounting holes dont match up, and I dont want to drill any more holes in my seat. I though about mounting a board to match the old holes, and then mounting the new amp to that. Does that sound like a good idea, or should I just say screw it and drill new holes???

Also, if I use the board, any ideas to get good airflow to try and keep the amp cool???
