PDF, PHOTOSHOP, AND specs need help

i recieved an email from a company saying they need our logo in a specific format...:

===== ART SPEC

Hi-res PDF, outline all fonts before converting to PDF

all images are hi-res, embedded, in CMYK (no PMS colors)

all layers flatten, transparent background

Flatten Transparencies, No Overprint

i have no idea what all that means....is there any body that does or that can do this?

Wait a minute. You can't flatten transparancies. Only merge them.

they want a single layer CMYK graphic. NO FONTS, that way they don't have to buy them..you convert them to outlines(objects)

I'm a little rusty on PS, but if you flatten the file, doesn't it make the background white?!?
