Downside to running above the window line?

I've been trying to figure out how I'm going to do my new system (2 BTL N2's 12's) and I'm thinking about instead of bringing my box up to the window line I might bring it to the top of my rear seats, but I need to know the downsides to doing this. I know I can't run super stock in USACi but I'd run street beat in that anyways. Can anyone give me an idea of why I shouldn't do this?

I've seen two 15's in a box to the top of the seat backs in a TB, you sure the box for two 12's is going to have to be that big?

I've seen two 15's in a box to the top of the seat backs in a TB, you sure the box for two 12's is going to have to be that big?

I just don't want it very deep. I'm trying to conserve a little space in the back. With batteries and box it'll be 25 inches which leaves me 7 inches of space, with a box that goes to the top of the back seat I can save another 5 inches.
